Mark Heine from EROAD (NZX:ERD) gave a presentation to the South Island Branch on the evening of Tuesday, 19 November 2024, in Christchurch. This was part of the nationally-organised event programme to showcase some small/medium cap stocks listed on the NZX. What is EROAD? EROAD is a fully integrated technology, tolling and services provider, based in Auckland, New Zealand. They were the first company in the world to implement a GNSS/cellular-based road charging solution across an entire country. They design and manufacture in-vehicle hardware, operate secure payment and merchant gateways, and offer web-based value-added services. EROAD modernises road charging and compliance for road transport by replacing paper-based systems with easy-to-use electronic systems. They are the largest provider of road user charges (RUC) compliance in New Zealand, and a leading provider of health and safety compliance and fleet management solutions. EROAD is listed on the New Zealand Stock Exchange (NZX) and Australian Stock Exchange (ASX) under the stock symbol of ERD. This week, EROAD posted a first-half net loss of $1.5m, with revenue up 8%. Co-chief executives Mark Heine and David Kenneson said they were confident in the outlook, with full-year revenue guiding to between $190m and $195 m and underlying guidance of $5m to $10m, which includes costs associated with its 4G hardware upgrade programme. The company plans to spend $3m more on research and development to $35m. #EROAD #NZBusiness #NZSA

NZSA stands up for you and represents your interests as investors and shareholders
About us
The New Zealand Shareholders Association was formed in 2001 to clean up poor board and company performance. We are a not-for-profit member-based organisation who actively advocate for the rights of NZ shareholders. Our branches across NZ provide members with speaker events, company visits, investor education and networking opportunities. The greater the number of members in NZSA, the more influence we can exert. NZSA collectively can exert greater influence on companies than an individual investor can hope to achieve. Our contribution has made a significant difference to board governance process, attitudes to shareholders and risk taking.

Don't miss this Waikato NZSA Branch Event! On December 10th, from 5 pm to 6 pm, join us at Trust Waikato (4 Little London Lane, Hamilton) as Jane Arnott MNZM presents a riveting ride through NZX50 codes of ethics—the passionate and the painful. Are corporate codes of ethics more than just paper promises? The Ethics Conversation's latest assessment report challenges conventional wisdom about ethical leadership in corporate governance. Drawing on methodology from the Institute of Business Ethics (UK), we examine how NZX-listed companies respond to the 2023 Corporate Governance Code's mandate for ethical leadership. This research explores which companies are walking the talk on ethical behaviour and why investors should pay attention. As the NZX Code requires directors to set and model high ethical standards, our findings offer valuable insights for boards and investors alike. To find out more and register for this event, click on the link below. About the Author: Jane Arnott MNZM is the Director and Founder of The Ethics Conversation. With over 15 years of expertise in ethical governance, she served as the NZ Country Manager for the Institute of Business Ethics (UK) for a decade. Jane is an adjunct research fellow at Victoria University of Wellington's School of Management and was honoured as a Member of the New Zealand Order of Merit in 2021. #CodesOfEthics #CorporateEthics #NZSAEvent

Ever wondered how your shares give you a say in company decisions when you can't attend meetings in person? That's where proxy voting comes in. It's giving someone else permission to vote on your behalf at company meetings - think of it as appointing a trusted representative to speak for you. Recently, Oliver, our CEO, participated in a panel discussion about proxy voting, organised by the NZ Stewardship Code. The Code is a set of guidelines followed by about 25 fund managers in New Zealand, helping them be responsible "owners" of the companies they invest in – similar to how NZSA checks companies are being well-run. We're pleased to share that more shareholders than ever are trusting NZSA to vote on their behalf this year. We believe this increase reflects the quality of our work in analysing companies and making clear, well-reasoned voting decisions. While some parts of the discussion get quite technical, it's worth watching to understand how organisations like NZSA work to improve how New Zealand companies are run. It shows how your vote – even when delegated through proxy – helps shape better company behaviour. #ProxyVoting #Shareholders #NZSA

New Zealand has introduced rules requiring some businesses to report on how climate change might affect them. Climate-related Disclosure (CRD) asks businesses to do their homework on climate risks and share their findings with investors and the public. In a recent submission, the New Zealand Shareholders' Association (NZSA) commented on some proposed changes to these rules. The rules would give companies extra time to meet certain requirements, and NZSA generally agreed with this extension. However, they weren't completely happy about giving companies more time to create their "transition plans"—documents that show how a company plans to adapt to climate change over time. The NZSA supports these climate reporting rules overall but recognises some challenges. These include the costs involved, ensuring New Zealand's rules match other countries' laws, and having enough qualified people to check and verify all these climate reports. Looking ahead to 2025, NZSA will expand the awards to include a new multimedia category, embracing modern journalism formats like podcasts and visual reporting. As our CEO Oliver Mander notes, "In the same way that we argue for all investors to be allowed access onto a level playing field, we think it's only fair that those specialising in multimedia journalism are afforded the same opportunity." This seventh edition of the Awards reinforces NZSA's commitment to supporting quality business journalism in an evolving media landscape. "NZSA continues to support a strong business media that creates transparency and holds business to account," says Mander. #BusinessJournalism #NZSA #NZBusiness #Journalism #BusinessNews #MediaAwards #NZSAEvent #BusinessJournalismAwards
