Earlier today, both houses of the New Jersey Legislature gave final approval to a bill (S1323/A2076) revising various requirements of the New Jersey Aspire Program that now awaits Governor Phil Murphy’s signature. The revisions to Aspire contained in this legislation are likely to provide the deal-closing incentive necessary to spur equity investments and debt financings that have been hanging in the balance for months and years (as carrying costs and nonrefundable deposits have piled-up). In this article, Sills Cummis’ Beth Rose and Charlie Falletta discuss the ongoing legal battle over the osteoporosis drug Fosamax, manufactured by Merck. For the second time, the U.S. Court of Appeals for the Third Circuit vacated the U.S. District Court for the District of New Jersey’s judgment that plaintiffs’ state law failure-to-warn claims in the Fosamax litigation were preempted under federal law. Unless the Third Circuit’s decision is reversed, this decision revives hundreds of cases, many of which have been dormant since at least 2017. Read more in this article: https://lnkd.in/eSV4TMaB

For the first time in nearly a quarter-century, the NJ State Planning Commission is making a concerted effort to update the State Development and Redevelopment Plan. Today, the Commission released a preliminary draft of a new plan and set an ambitious timeline for adopting the document by the end of 2025. On December 3, 2024, the U.S. District Court for the Eastern District of Texas issued a nationwide preliminary injunction enjoining the Government’s enforcement of the Corporate Transparency Act (CTA) – a new federal law that went into effect on January 1, 2024. However, since this is a preliminary injunction, not a permanent injunction, it is likely to be appealed to the U.S. Court of Appeals for the Fifth Circuit.
