    One of our University of Miami School of Law Transactional Skills Program (TS) students is in New York meeting with companies, and she just texted me to say that companies they are meeting with are flabbergasted by how much our students know about due diligence, redlines, reps and warranties, and other key contractual issues. That’s no accident. It’s thanks to our incredible adjunct professors who teach our TSI (basic drafting and negotiation), TSII (financial literacy, corporate governance, commercial leases, loans, intro to M&A, due diligence, and more), and TSIII (negotiating and drafting private equity agreements; legal issues in IPOs; and drafting M&A agreements) courses. These talented practitioners are equipping our students with the practical skills they need to hit the ground running post-graduation.     𝗢𝗻𝗲𝗦𝗮𝗮𝗦... 𝗮𝗺 𝗜 𝗮 𝘁𝘂𝗿𝗸𝗲𝘆 𝘃𝗼𝘁𝗶𝗻𝗴 𝗳𝗼𝗿 𝗖𝗵𝗿𝗶𝘀𝘁𝗺𝗮𝘀?? 🦃 Yesterday I joined Electra Japonas, Dory Lord and Chris Handy 🎉 on a OneSaaS "Ask Me Anything" call, to offer a peek into the process of the OneSaaS Steering Committee to get to OneSaaS v0 (full disclosure, we were carefully guided by the Law Insider team!) . There were some great questions from the attendees, but none quite like the one posed to me (not on this call!) by a lawyer friend of mine... Why would I - a private practice lawyer who negotiates contracts for a living - volunteer on a project where the sole aim is to CUT DOWN NEGOTIATIONS? 🤯 I get it. It does seem, on the face of it, like an own goal. But, here's the thing... IT ISN'T. Yes, there have been times in my career when a complex negotiation (or belligerent opposing party) has single-handedly paid my mortgage for months on end*. And yes, it's a buzz when you get to the end of a hard-fought contract battle... but 𝗻𝗼-𝗼𝗻𝗲 honestly believes that it's the best way to do business. A sensible compromise position is a great aspiration - it will make all our lives easier. And, most importantly, it's what clients need. 𝗜𝘁'𝘀 𝗴𝗼𝗶𝗻𝗴 𝘁𝗼 𝗲𝘅𝗶𝘀𝘁... 𝘀𝗼 𝗜 𝘄𝗮𝗻𝘁𝗲𝗱 𝘁𝗼 𝗯𝗲 𝗶𝗻𝘃𝗼𝗹𝘃𝗲𝗱 𝗶𝗻 𝘄𝗿𝗶𝘁𝗶𝗻𝗴 𝗶𝘁. 💡I wanted to understand the rationale for each clause ⚖️ I didn't think many other lawyers like me would volunteer** 💻 I wanted to make sure that SME tech vendors (my typical clients) were represented But, most of all, I'm looking forward to being able to focus on more of the stuff that really IS complicated, and seeing what we can all achieve when we don't spend months ping ponging over liability clauses. #oneSaaS #contractNegotiation #techlawyer *I'd be prepared to bet that this will still happen from time to time... **I was right - there are hardly any private practice lawyers on the SteerCo.

    What We Accomplished in 2024: Law Insider & SimpleDocs *Law Insider* The rapid emergence of AI-enabled drafting tools represents an existential threat to Law Insider's legacy subscription business, which relies on lawyers copying contract and clause samples from our library. What we accomplished in 2024 was focused on addressing this threat by: (i) stabilizing the core subscription business, (ii) shifting focus from general to standardized contracts, and (iii) setting a new product direction toward tech- and AI-enabled tools. Law Insider 2024 milestones: -Surpassed 10,000 paying subscribers (demonstrating our ability to stabilize the current business). Huge kudos to Chris Handy and Dory Lord on this. -Surpassed 2M annual contract downloads. -Acquired oneNDA, the global standard for Non-Disclosure Agreements. -Appointed Electra Japonas as Chief Legal Officer. -Launched the Future Contracts Miami conference series in partnership with the University of Miami, Marcia Narine Weldon and Cosmonauts. -Established a technology partnership with SimpleDocs and Telos Labs to enable our shift into AI-enabled solutions. Goals for 2025: -Reach 1M standard contract downloads (via oneNDA, oneSaaS, etc.). -Launch 25 new contract standards. -Launch a free Law Insider Standards Builder -Launch a free AI-powered Contract Review tool (converting each contract standard into a corresponding AI playbook). *SimpleDocs* As the CLM market becomes increasingly crowded with vendors, we continue to stay ruthlessly focused on niche use cases that allow us to capture market share with large multinational public and private companies with discreet contract operations needs. We win with efficiency in deployment, flat-fee cost structures, and executive sponsorship at the engineering and business levels. Our true superpower, however, lies in finding permanent, proprietary distribution advantages. Our partnerships with oneNDA and Law Insider are thoughtfully conceived to support this strategy and will deepen in 2025. SimpleDocs 2024 milestones: -Closed our first five publicly traded customers (validating enterprise product value and platform stability). -Closed our first major financial institution customer. -Closed our first customers in Ireland, Qatar, France, and Gibraltar. -Appointed Jennifer Holden as VP of Customer Success (Jen is a star, and we’re lucky to have her). -Won 2 Stevie Awards for #AutoNDA. -Launched SimpleAI in beta—our AI-powered contract review tool (available now via Microsoft Word). Goals for 2025: -Surpass $1M in ARR (to validate product-market fit, distribution advantages, and implementation capacity). -Achieve 120% NRR (to validate customer satisfaction and inherent expansion dynamics within the business). -Launch SimpleCLM (currently in beta). -Hire a Chief Marketing Officer (Let’s get this done, JM!). -Reach 500 inbound SQLs per month. -Publish 15 case studies (to validate customer satisfaction and loyalty).

    The oneSaaS SteerCo kick-off call yesterday was full of energy, ambition and incredible people that truly believe in our mission! 🔥 The SteerCo is now busy voting on which functions should be included in oneSaaS and how they should be constructed. But here's how we prepped for this stage: Using advanced AI-driven analysis, we processed 982 SaaS agreements from Law Insider's contract library. By using AI and the rich dataset that Law Insider providers, we were able to go beyond traditional manual review - and through this analysis, we found that these contracts contained 819 unique clause titles. However, when we stripped them down to their core purpose, we identified just 52 distinct functions 😲 This revelation underscores a critical insight: while contracts are often drafted with unique wording and structure, the underlying objectives they aim to achieve are remarkably similar - standardisation is happening, we just haven't formalised it. The voting process is carefull structured, and the SteerCo is now tasked with categorising each function into five distinct groups: 🚫 Excluded: Functions deemed unnecessary or irrelevant to a standard SaaS agreement. ❓ Optional: Functions that may be included based on specific needs or preferences but are not mandatory. ✅ Baseline: Essential functions that form the foundation of the standard and are included by default. and ✏ Variable: Functions requiring input or specific data, such as pricing terms or service levels, reflecting points of negotiation. ⚓ Non-Variable: Fixed functions that are included as-is without further customisation. This structured framework allows the SteerCo to focus on what truly matters, determining the relevance and necessity of each function without being clouded by debates over stylistic preferences or drafting conventions.
