WOW! My thoughts on the Paychex acquisition… DISCLAIMER: These are my opinions after listening to the Paychex M&A call and talking with many trusted industry partners and brokers in my network. This is a significant move in the HCM industry that will have lasting impacts and create shock waves throughout HCM tech and employee benefit brokers. 1. I have a lot of contacts in the broker community and understand their space (we used to have a brokerage division). Whenever I talk with my broker partners, we spend ZERO time talking about Paychex. I doubt this changes. 2. Make no mistake about it, Paychex is a threat to brokers. 3. Paychex stated that their highest value creation priority is Managed Services and PEO. 4. They want to run Paycor independently, but what does that change? They will still cross-sell Paycor clients to Paychex PEO or Paychex Insurance Agency. 5. Paychex wants to offer their employee marketplace to all Paycor clients, where they sell… VOLUNTARY BENEFITS! Not great news for brokers. 6. Managed Services played a key role in this acquisition for Paychex. This is not surprising considering how hot the Managed Services industry is in mid-market HCM (50-2,500 employees). 7. I expect Managed Services to move from “nice to have” to a "must have" in all HCM tech evaluations. 8. There will be layoffs, probably on both sides. They touted $80m in "cost synergies." 9. Paychex is using this move to go upmarket. They simply just aren't relevant in this space today, but Paycor is. 10. With this acquisition, how does Paychex get to the upmarket organically? Paycor has historically done a great job working with brokers to pull referrals, but if I were a broker, I wouldn’t have the warm and fuzzies referring Paycor knowing that Paychex IA, Paychex PEO, and the Paychex Employee Marketplace are lurking in the shadows. 11.
