ISS 2025 U.S. and Canadian Benchmark Policy Updates Released   ISS has published its 2025 U.S. and Canadian benchmark policy updates, effective for annual meetings on or after February 1, 2025.   Key updates include: U.S. policies on poison pills, SPAC extensions, and natural capital/biodiversity proposals Adjustments to the qualitative review of performance-vesting equity awards Clarifications in Canadian policies on former CEO independence and virtual-only shareholder meetings   ISS is also seeking feedback on performance-vesting vs. time-vesting awards for a potential 2026 policy revision.   Alliance Advisors’ Shirley Westcott has analyzed the changes and shared insights in a detailed article designed to help clients navigate these updates. 𝐈𝐧𝐯𝐞𝐬𝐭𝐨𝐫 𝐔𝐩𝐝𝐚𝐭𝐞 𝐁𝐮𝐥𝐥𝐞𝐭𝐢𝐧: Vanguard 𝐕𝐨𝐭𝐢𝐧𝐠 𝐂𝐡𝐨𝐢𝐜𝐞 𝐏𝐫𝐨𝐠𝐫𝐚𝐦𝐦𝐞 👉 Since early 2023 Vanguard introduced the 𝐕𝐨𝐭𝐢𝐧𝐠 𝐂𝐡𝐨𝐢𝐜𝐞 programme that allows fund investors and clients such as pension funds to influence the voting of their relative stake in a company. 👉 Vanguard's program does not allow investors to specify votes at every company shareholder meeting but instead offers to 𝐜𝐡𝐨𝐨𝐬𝐞 𝐚 𝐯𝐨𝐭𝐢𝐧𝐠 𝐩𝐨𝐥𝐢𝐜𝐲. 👉 In recent developments, Vanguard now announced to 𝐢𝐧𝐜𝐫𝐞𝐚𝐬𝐞 the Voting Choice programme for 2025 which is then available to 𝐧𝐞𝐚𝐫𝐥𝐲 𝐟𝐨𝐮𝐫 𝐦𝐢𝐥𝐥𝐢𝐨𝐧 investors representing 𝐧𝐞𝐚𝐫𝐥𝐲 𝐔𝐒𝐃 250 𝐛𝐢𝐥𝐥𝐢𝐨𝐧 in assets under management. The following 𝐯𝐨𝐭𝐢𝐧𝐠 𝐨𝐩𝐭𝐢𝐨𝐧𝐬 𝐚𝐫𝐞 𝐨𝐫 𝐰𝐢𝐥𝐥 𝐛𝐞 𝐚𝐯𝐚𝐢𝐥𝐚𝐛𝐥𝐞: 👉 Company Board-Aligned Policy 👉 Glass Lewis ESG Policy 👉 Vanguard-Advised Funds Policy 👉 The “Not Voting Policy” instead will not be available anymore and will be substituted with the so called Mirror Voting Policy. 👉 Egan-Jones Wealth-Focused Policy is newly added and will vote "shares in accordance with the recommendations from a third-party (Egan-Jones) that focuses on maximizing shareholder value 𝐰𝐢𝐭𝐡𝐨𝐮𝐭 𝐛𝐞𝐢𝐧𝐠 𝐢𝐧𝐟𝐥𝐮𝐞𝐧𝐜𝐞𝐝 𝐛𝐲 𝐩𝐨𝐥𝐢𝐭𝐢𝐜𝐚𝐥 𝐨𝐫 𝐬𝐨𝐜𝐢𝐚𝐥 𝐚𝐠𝐞𝐧𝐝𝐚𝐬”. 🖐 For companies, this means that there is an increased risk of receiving a 𝐬𝐩𝐥𝐢𝐭 𝐯𝐨𝐭𝐢𝐧𝐠 from Vanguard at the next annual general meeting.
