In late 2023, Alan joined Zhong Lun Law Firm LLP (Hong Kong Office) and took the initiative to establish the Debt Capital Markets (Hong Kong) team. This team focuses on cross-border financing and bond issuance projects, addressing the evolving needs of clients in the international debt capital markets. In July 2024, Alan was appointed as a member of the Bond Review Committee of Chongwa (Macao) Financial Asset Exchange Co., Ltd. for a two-year term (July 2024 to June 2026), where he contributes to the exchange’s development and regulatory oversight. Alan frequently advises issuers and underwriters on offshore bond transactions, providing strategic insights and practical solutions to ensure seamless and successful outcomes. Our litigation team’s Frederick Hui, Clara Leung and Nathan Ma advised our clients in an appeal to the Judicial Committee of the Privy Council. Our team had the privilege of attending an exciting 2-day hearing in London. Whilst London was nearing freezing temperatures, heated and exciting debates were made before some of the top Justices in the United Kingdom. The appeal to the JCPC is significant as the judgment subject to the appeal is being sought to be recognised and enforced globally. At the appeal, important issues were discussed, including whether, for the purposes of assent by shareholders of a company to a course of action under the principle in Re Duomatic [1969] 2 Ch 365, there must be findings that the shareholders intended to be bound as with a formal resolution, intended for legal enforceability of that course of action and intended to create a binding agreement.
