Boards hold a unique position. They have a panoramic view of the company's strategy and a responsibility to see beyond the present. Inaction in the face of AI's disruptive potential is at minimum a missed opportunity with a downside that’s much worse. Boards must ask management to develop a comprehensive plan for AI integration. This plan shouldn't be an afterthought; it needs to be woven into the fabric of the company's strategic vision, as highlighted in research by Mittal, Luo, and Rao (2023) who found that firms with strong digital governance, including strategic IT integration, experienced higher innovation performance.2
