Most Syndicators miss this The general rule is that you can not raise money for your #syndication LLC (which is a separate legal entity than you) unless you have a broker-dealer license. As a true GP, you likely fall under the Issuer Exemption which allows you to do it without a license, so long as you are doing all 3 of the following: 1️⃣ You do not take transaction-based compensation. Meaning, you are getting paid to do the GP work primarily. Not just raising the capital. 2️⃣ You do “substantial duties” in your role as the GP; and 3️⃣ Your “primary” role in the syndication is doing those substantial duties. Most true GPs fit into this quite easily. Where it gets challenging is when Co-GPs primarily are brought in to raise capital. Then they don’t fall into this exemption and thus need to register as a broker-dealer. (Which most do not)
