About the Role The Legal Director - APAC is responsible for heading up the legal function for Yondr in APAC. This role will work closely with our project teams to ensure timely delivery of our Data Centers, including at our flagship project in Johor - Malaysia, within acceptable contractual risk parameters.A key aspect of the role involves collaborating with a wide variety of internal and external stakeholders, spanning multiple time zones and cultural differences. The Legal Director - APAC will work closely with the global and regional business functions, including Finance, Tax, CoSec, Global IT to service day-to-day contractual needs and provide commercial, practical and solution-focused advice on emerging issues. Main Responsibilities Overseeing the delivery of legal services and resources to accomplish corporate goals, strategies, and priorities across the region.Advising the senior leadership teams on emerging legal issues and risks.Participating in the formulation of policies, processes and strategies to promote best legal practices at Yondr.Appoint and manage external counsel to ensure Yondr is receiving best in class expert support; outsourcing effectively to meet business needs.Support our Development team on land acquisition and development activities, including legal due diligence, purchase and sale agreements, joint ventures, power / utility contracts, easements and interactions with local / State officials.Support our Design & Construction team in achieving tight RFS deadlines and vendor management including drafting, negotiation and advice in relation to: OFCI procurement, Design, GC appointment, substation / minor works, consultant appointments, variation orders and delay / cost claims.Support our Operations team during the mobilization and operation phase of the data center, to include facility management and security appointments and day-to-day services / goods needs.Negotiate Senior Financing and other financing streams for our projects. Coordinate legal DD, monitor compliance with loan conditions and lender approvals.Participate with cross-functional teams in negotiation of Hyperscale leases.Draft and negotiate day-to-day professional services / goods / IT agreements.Hold weekly meetings with project teams to monitor contract needs and status. Responsibility for corporate compliance in Vietnam rests with head of the organisation and the board. Ensuring compliance requires a holistic approach to understanding obligations across the organisation, and putting in place a transparent process for planning and execution of compliance obligations. It is common in Vietnam for compliance to be delegated to finance or HR teams. This, however, presents considerable risks and is not best practice for governance - notwithstanding that any non-compliance remains the responsibility (and potential liability) of the head of the organisation. Best practice is to have a Compliance Calendar, which incorporates all obligations, and which each department proactively and continuously updates and feeds into the calendar, based around a transparent communication process behind this.
