One of the biggest challenges I see in mergers and acquisitions is ensuring alignment on the deal thesis. M&A is a powerful tool, but it’s not a strategy in itself. Too often, the M&A team, especially the integration team responsible for value creation, doesn’t fully understand why they’re pursuing the transaction. This misalignment can lead to missed opportunities, poor integration, and even the loss of key talent. In an ideal scenario, the deal thesis should dictate the integration strategy, influencing the valuation of the target company and guiding the M&A team during due diligence. It’s essential to ensure that everyone involved, including the target company, understands the strategy and deal rationale. Without clear communication and transparency, the incoming team might resist the post-acquisition plan, leading to insubordination, poor performance, and key employees leaving. To overcome this, it’s crucial to have open communication from the outset.
