Raise a search fund or self-funded? The 'economics' aren't the biggest factor ⤵️ Fundamentally, you're choosing between two different career paths: 1️⃣ Traditional Search Fund operators are CEOs. The job is to bring professional management to a small or mid-sized business and build profitability. 👉 You step in on 'Day 1' as the CEO with a smaller equity stake (~15%) and the opportunity to increase your compensation in line with business success 👉 You report to your Board of Directors 👉 You are not 'The' owner, you are a minority stakeholder 👉 Optimizing for an exit within 7-10 years 2️⃣ Self-funded Searchers are owner-operators, not CEOs. There is no 'c-suite' of management for you to lean on. 👉 You step in on 'Day 1' as the owner with a majority equity stake (~80%). Your compensation grows or falls with the value you create in the business 👉 You do not report to a Board, although you may have minority investors 👉 You are 'The' owner. Everything falls on you 👉 You may never exit the business 💡 Here's the takeaway- if you're successful, you're going to make plenty of money regardless of the route you take. Satya Nadella owns 0.01% of Microsoft and he's doing just fine 😎 It's not about owning the whole pie; it's about owning a portion of a much more valuable pie. The real question is: ❓ Do you want to be the CEO of a middle-market company? OR, ❓ Do you want to be the owner-operator of a 'main street' business? I find in some cases that founders feel the pressure to use these offers, only to find them falling short of expectations. Private Equity funds are your best friends if you're building softwares in little digitalized but very profitable industries. They are your best Salespeople ... It's simple: you have to sell to the companies in their portfolio, and they're industry-driven, so there are often several companies with the same pain within single vintages and portfolios. 1)The companies in their portfolio are profitable, cash cows... so they can pay high ACVs, the contracts are big, better than selling to seed and series A startups under runway... 2)The PE fund manager wants to cut costs, increase EBITDA margin so any automation and optimization via software is welcome ... they'll accelerate the sales cycle... 3)If you attack the EBITDA margin directly, you're a direct ROI for the fund, which itself has influence over the company. 4)They know the importance of paying to get ROI then, so they do the promotion of your product to the CEOs / CFOs / CPOs of the portfolio companies... VCs are blessing more hiring, but with a warning: raising the next round is an uphill battle, so conserve cash. This advice has led some companies to hire on their own or find the cheapest agency out there. This reminds me of building a house. You have two options: hire an expert or DIY. Doing It Yourself: - Full ownership and cost-effective. - Higher risk of critical, costly mistakes. - Fixing errors consumes time, escalating frustration and expenses. Hiring an Expert: - Years of experience, big network. - More costly but less risky. - Knows common pitfalls and how to avoid them. - Often paid based on speed and project completion. While DIY hiring might seem like a good idea initially, it often leads to mistakes that delay progress and increase expenses. Just like in building a home, hiring professionals ensures the job gets done right the first time, saving time and money. Remember, it’s not just about getting the job done, but getting it done right. Consider the value of expertise.
