Civil Leniency? The Antitrust Division's recently released Guidelines for the "Evaluation of Corporate Compliance Programs in Criminal Antitrust Investigations" seem to suggest a civil leniency program. Is this going to be a thing? The Guidelines correctly observe that "[a] strong culture of compliance can allow a company to steer clear of civil antitrust violations," but then go on to suggest that "if violations do occur" companies "promptly self-disclose" to the Antitrust Division. I would be interested if anyone can think of a DOJ investigation that resulted from a company accepting the Antitrust Division's civil self-disclosure value proposition. This seems unlikely to become a "thing" as the Antitrust Division has limited sticks ("court-mandated further compliance and reporting requirements or retention of and supervision by external monitors"), and no carrots on offer, not even ACPERA protections. It is difficult to imagine the calculus that would lead a company's management to self-disclose and incur the crushing cost of an investigation and private damages litigation if the company, by operation of a robust compliance program, can just cease the non-criminal conduct.
