U.S. vs. Homemarket IPO is an excellent question. The points made are all valid and an issuer will typically benefit from liquidity and visibility made possible by the depth of U.S markets. However, the benefit will be more subdued for non-U.S. based companies, unless the majority of revenue comes from the U.S., due to the inability to be included in the major U.S. index funds. That is an important consideration that will result in a valuation discount. For this reason a sponsored ADR could achieve the best of both worlds. A trend I have noticed lately is of founders with crowded cap tables wanting to clean it up. They come to me saying, "I want to give this list of investors an exit. How can we do this?" It's interesting to see that when presented with a good solution, founders always want to make sure that their shareholders get an exit. And to make the deal even sweeter, most of them have their employees get liquidity for their ESOPs as part of the same secondaries deal too. And it just wouldn't be possible if the whole process wasn't done through a platform. It would take far more time, a lot more people involved, more noise and significantly more expensive. We have been tweaking our model for the past 2 years to bring it to this point and now we're looking forward to work with founders everywhere looking to clean up their cap tables and give their shareholders exits. SUBSCALE IPOs The Meritech team Meritech Capital continues to put out some excellent analysis. This one is on IPO scale. TLDR is that companies with less than $700m annualized revenue underperform after going public. Actually, not just underperform - they have NEGATIVE absolute returns. This makes it hard to retain employees, sustain analyst interest or build a book of permanent buy-and-hold shareholders. A few months ago, I had posited that one needs $500m in revenue to go public. If a startup goes public with $250m in revenues, unless they are growing really fast (>50% YoY if not faster), they should expect the next few years to be a daily struggle. Sadly, an acquisition by a larger company or by PE might be an inevitability, as we’re seeing almost daily today.
