2 + 2 = 5 Nationwide Building Society has announced a preliminary agreement to take over Virgin Money in a deal valued at over £2.2bn. Shareholders will be hoping that the magic ‘synergies’ can be delivered. The UK’s Big 4 banks (NatWest Group, Barclays, Lloyds Banking Group & HSBC) have not had much external competition. Can the combination of Nationwide and Virgin Money challenge their dominance? Challenger banks such as Starling Bank, Monzo Bank and Revolut have taken some market share, but have struggled to achieve true scale. The combination of two second-tier brands may be able to achieve cost-efficiencies, but to deliver true value the combined group will need to attract significant numbers of new customers. As a UK domestic bank this will need growth in both the retail and commercial segments. The Big 4 have weathered such challenges before. General Motors and Barclays have signed a long-term credit card partnership agreement to let customers earn and redeem reward points on new Buicks, Cadillacs and other GM cars, including electric vehicles. Company-branded credit cards can be a major win for banks, as they capitalize on customer loyalty to the partner brand along with offers of attractive perks such as cashback and rewards. The partnership will help expand Barclays' credit card footprint in the U.S. The bank also has card relationships with other prominent brands such as American Airlines and Gap. As part of the agreement, Barclays will acquire the card program's receivables from the current issuer next year. Nationwide and Virgin Money. Nationwide have acquired a retail bank, more branches, an arguably slicker digital capability and most importantly - a mature business banking proposition. But with the transaction done, now starts the hard work of integration, alignment, synergies and cost savings. It will be a major distraction so I hope they keep looking over their shoulder to maintain eyes on the big banking elite. Good or bad for mutuality? Depends on the next few years I guess. It will come down to the leadership team that over the past 25 years has already seen several waves of significant change, with executives from Alliance and Leicester, then Barclays and more recently Lloyds. So, do these banking executives find themselves in a better place - an environment that isn't under the intense pressure from the City and shareholders and so able to focus on delivering everyday banking in a modern mutual that differentiates. [SO FAR YES!] Or does mutuality get diluted this time?
