Here are the top 3 mistakes I see owners make when selling their business: They aren’t prepared for life after exit. (That includes estate, tax and personal planning.) They don’t understand how they’ll get paid. (Enterprise value doesn’t equal proceeds.) They aren’t ready to work through closing. (Signing the offer is the start, not the end.) What other mistakes do you see? #mergersandacquisitions #exitplanning #LifeAfterExit

Partners decide to leave businesses for a variety of reasons. In some cases, their departure was always part of the plan and was built into the original business agreement. In other scenarios, they’re leaving due to a dispute, and there are plenty of reasons that fall in between. One way or another, the disassociation will have a significant financial impact on the organization. Business valuation and the buyout process are just a few of the elements that need to be considered, and how easily they are addressed is often dependent on whether disputes or animosity are driving the partner’s departure. Good contracts make good friends. Contract speed is not a product of the contract type and style. It's generally a product of bandwidth, priority, and stakeholder relationships within the team you're partnering with. I have been on teams that, by necessity, put contracts into place in 48 hours, and others that took months. If you're not working in a life or death TODAY issue, you won't be truly rapid. You can move relatively quickly if you're stakeholders are aligned, especially if the contracting officer has been brought in early and understands the impact and purpose of their work. The reality is that many contracting officers don't have the time to be plugged into every program they support and they are working off of their own organizational priorities. Being patient and respectful, and facilitating and supporting that understanding can help the team in wanting to support your work, and can get them to a point where they can build you a good contract. Please checkout the Auxo blog for some deep thoughts from Haley on speed in contracting and acquisitions. Megan VanHorn
Everyone wants to go faster and I'm all for being as quick and efficient as possible, especially when it comes to government contracting. We talk about speed a lot and address how to find fast contract opportunities and how you posture yourself for last minute money drops. What we don't talk about so much are the adverse side effects of moving quickly through acquisitions. In this week's Auxo post, I address some of the questions I think you and your USG customer both should be asking yourselves before rushing into an agreement. I'm not saying slow down and I'm not saying you have to have answers to these questions right away. However, you need to at least think about them in order to have the highest chance of success. There are a number of reasons why you may need to close your limited company. This could be because the company structure no longer suits your needs, your business is no longer active, or the company is insolvent. You will usually need the agreement of all the company’s directors and shareholders to close down a company. #CompanyLiquidation #LimitedCompany
