In the latest surprise coming out of the Fifth Circuit, just a few days after issuance of the Stay Order, the Clerk of the Fifth Circuit, acting at the direction of the Court, entered a two-page order vacating the court’s Stay Order “in order to preserve the constitutional status quo while the merits panel considers the parties’ weighty substantive arguments.” What should you do now? We recently covered the unexpected and sweeping order by U.S. District Judge Amos Mazzant of the Eastern District of Texas in Texas Top Cop Shop, Inc. v. Garland, which preliminarily enjoined the U.S. government from enforcing the Corporate Transparency Act and its beneficial ownership reporting rule and stayed the CTA’s January 1, 2025, filing deadline for reporting companies created in or registered to do business in the United States before 2024. Our key question arising from the preliminary injunction was whether the U.S. Court of Appeals for the Fifth Circuit would stay—i.e., halt—the effectiveness of Judge Mazzant’s preliminary injunction before the BOI Reporting Rule’s January 1, 2025, compliance deadline. Yesterday, in an unexpected per curiam order, a three-judge panel of the Fifth Circuit indeed stayed Judge Mazzant’s preliminary injunction. https://bit.ly/3Dp16ld Carl Fornaris | Monica Lopez-Rodriguez | Ryan Greenberg | #corporatetransparencyact

In November 2023, the State of New York filed a lawsuit alleging that PepsiCo endangered public health and polluted the Buffalo River in upstate New York related to single-use plastic packaging from its products. New York sought to hold PepsiCo liable for the independent actions of third parties under a novel theory of liability. In October 2024, the State of New York’s complaint was dismissed, with the court forcefully rejecting this theory of liability. Whether plaintiffs advancing similar arguments in other jurisdictions will fare any better remains to be seen. https://bit.ly/4h7RQ3N Sam Trimbach | Josh Brown | #environmentallaw

The EU remains dedicated to combatting sanction evasion. Aspects of the new package include individuals and entities from third countries such as China, Hong Kong, Serbia, India, Iran, and United Arab Emirates that either helped circumvent EU sanctions or supplied dual-use components to the Russian military sector. The new package continues to align—in both content and timeliness—with measures taken by the United States. https://bit.ly/407C82H Sara Susnjar | Laurine Petit | #sanctions #EU #Russia
