The United States Court of Appeals for the Fifth Circuit recently ruled that Serta Simmons Bedding’s 2020 uptier exchange did not qualify as an “open market purchase” because it wasn’t “a purchase of corporate debt…on the secondary market for syndicated loans.” This decision reverses the Bankruptcy Court for the Southern District of Texas and has significant implications for non-pro rata debt exchanges, potentially marking the end of the first era of liability management exercises. Proskauer recently announced that it advised JLC Infrastructure on the closing of JLC Infrastructure Fund II. The Fund, together with separately managed accounts, closed on capital commitments of $925 million, exceeding the $750 million target. This is JLC’s second fund in the series and will be focused on making infrastructure investments across North America. Proskauer previously advised JLC on the closing of JLC Infrastructure Fund I.
