The U.S. Department of Justice Antitrust Division has issued updated guidelines for corporate antitrust compliance programs. It remains the case that a comprehensive antitrust compliance program is a factor the Division will consider when making charging and sentencing recommendations. Boilerplate policies that are not tailored to a company’s specific circumstances may not hold much weight. The significant updates include applying the guidelines to civil (not just criminal) matters and emphasizing the importance of including clear guidelines related to the use of ephemeral communications (such as Slack and Teams messages) and monitoring the use of artificial intelligence for antitrust risk. The issuance of this update is a good reminder to consult with experienced antitrust counsel to ensure your company has an effective compliance program that addresses the guidance provided by the Antitrust Division.
