I would advise clients to hire a consultant to guide them through the process. Then the advisor to prepare Heads of Terms with all main points of the future lease agreement written in a common understandable language, so the parties understand the meaning of those points. From there involve a legal adviser that can "translate" those terms in a lease contract. Review the points and ask for common understanding.

We recommend to both our Landlord and Tenant clients that they have competent real estate professionals and legal counsel that understand the client as well as the nuances of the market or submarket in which they are leasing. Laws, practices and customs vary widely by city, region, state and country. Depending on the scale of the project, it may be helpful to have legal counsel who understands the client's business structure as well as local legal counsel in the specific market.

I always ensure there is a commercial summary of the key terms of the lease agreed between the parties often referred to as a Letter of Intent or maybe Heads of Terms. Not only does this give the parties clarity but it makes the legal drafting much more straightforward.

To avoid any doubt on how a specific adjustment is intended to work, an example based on the assumption of the necessary elements of the calculation can be established. Then the calculation can be performed in a narrative fashion or in a graphical arithmetic summary. The example will reduce the risk of misinterpretation and ensure that this calculation is done as anticipated and agreed to in the lease.

I do a 30-minute lease review with my new clients before they move as part of the building orientation. I have them read it first, take them through the basics, and answer questions. It’s a great way to teach about how to work with the building so there are no surprises. And it starts the relationship off on the right foot. Even better if you put different scenarios and kinds of leasing, for example: retail, industrial, office and residential. It would be diligent to have a lawyer advise on the provisions in the contract, what's acceptable in practice and up to what extent, what the repercussions are for accepting a provision, etc. It would also be good to have a broker advise on current market practice, present market acceptability, and general tenant/lessee or landlord/lessor experience. Contentious points usually arise in "what if" discussions under certain provisions, so navigating that and bridging the gap would be key.

In my experience, all parties can ensure a clear understanding of the lease and the complex language by having a legal review. As the lease governs the relationship between the Tenant and Landlord, I always refer parties to have legal review any discrepancies or questions.

I did not see any reference to due diligence of the property. A clear check list makes it simple to understand. Also the conditions / factors are dependent on the organisation.. it could be different for a BPO vs a software company vs manufacturing vs a media company and I have worked for most of these.
