The alignment of board decisions with organizational objectives is measured to ensure strategic goal alignment. Financial oversight is gauged through metrics like budget adherence and financial performance. Compliance and risk management effectiveness are assessed on adherence to regulations and the success of risk mitigation efforts. Diversity, board composition, and development are analyzed using diversity metrics and training attendance while board self-evaluation is conducted through surveys.

First, what are board/organization objectives....then you need to develop strategy / plan to how achieve those objectives over a period of time( short, medium, long-term)..

Boards need to be aware of their own strengths and weaknesses. Many corporate governance codes now call for regular board level performance evaluations as a principle or recommendation. Similarly, a regular assessment of the contribution to the board of each director is required.

Before developing any KPIs, it was important to understand and goals and expectations from the Board. Based on that, we can prepare SMART KPIs and benchmark them against industry best practices. Once those are created, it should be presented to the Board and Shareholders to ensure all parties are aligned to it. Afterward, the performance should be monitored against the KPIs, and report the performance on a regular basis (quarterly or half-yearly). Adjustments should be made to the plans where there are major deviations from KPIs.

In my experience it would be advantageous to bring in an external facilitator with a focus on board practice to guide the current board through a board away day for strategic reflections, assessment, unresolved tensions towards a forward looking consenus on values, goals and vision to the organization they serve.
